Terms of Service
These Terms of Service ("Terms") govern your use of Solvo ("we", "us", "our"), a product of Badger Labs Pty Ltd (ABN 14 631 347 049), including the web application at app.solvo.com.au and all related services (the "Service").
By creating an account, you agree to these Terms. If you do not agree, do not use the Service.
1. What Solvo Is
Solvo is a software tool that automates invoice follow-up communications (email and SMS) on behalf of Australian businesses. Messages are sent in your business's name, not ours. Solvo is not a debt collection agency, payment processor, or legal service.
2. Eligibility
To use Solvo, you must:
- Be an Australian business with a valid, active ABN
- Be at least 18 years of age
- Have authority to act on behalf of the business you register
3. Your Account
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Keeping your account information accurate and up to date
We may suspend or terminate your account if we reasonably believe you have breached these Terms.
4. Your Responsibilities
4.1 Invoice Data
When using Solvo, you represent and warrant that:
- All invoices you upload or sync represent genuine, outstanding debts owed to your business
- You have a legitimate existing business relationship with each debtor
- The amounts, due dates, and debtor details you provide are accurate to the best of your knowledge
- You will promptly update or remove invoices that have been paid, disputed, or are otherwise no longer valid
4.2 Contact Data
- You have obtained debtor contact information (email addresses and phone numbers) through your legitimate business relationship
- You have the right to share this contact information with Solvo for the purpose of invoice follow-up
- You will promptly update contact information if you become aware it is incorrect
4.3 Communications
- You authorise Solvo to send email and SMS communications to your debtors on your behalf, using your business name
- You understand that these communications will identify your business as the sender
- You will not use Solvo to harass, threaten, or mislead any person
- You will not use Solvo to contact individuals who have no legitimate debt to your business
4.4 Compliance
- You will comply with all applicable Australian laws, including the Australian Consumer Law, Competition and Consumer Act 2010, and any industry-specific regulations
- You acknowledge that Solvo enforces contact frequency limits in line with ACCC Debt Collection Guidelines, and you will not attempt to circumvent these limits through any means
- You will respect all opt-out requests and contact blocks applied through the Service
5. What Solvo Does and Does Not Do
Solvo does:
- Send automated email and SMS reminders on your behalf
- Track delivery and engagement with those communications
- Enforce Australian regulatory contact limits
- Provide a dashboard to manage your overdue invoices
- Sync with Xero to import and update invoice data (if connected)
- Process STOP/opt-out requests immediately and permanently
Solvo does not:
- Collect debts or act as a debt collector
- Process, hold, or touch any payments — all payments go directly from debtor to you
- Provide legal advice or legal services
- Guarantee that any debtor will pay
- Verify the validity or enforceability of your invoices
6. Acceptable Use
You must not use Solvo to:
- Send communications to people who do not owe you money
- Upload false, fabricated, or inflated invoices
- Harass, threaten, or intimidate any person
- Impersonate another business or individual
- Send communications that are misleading or deceptive
- Attempt to circumvent contact frequency limits or opt-out blocks
- Use the Service for any purpose that violates Australian law
We reserve the right to suspend or terminate your account immediately if we determine you are using the Service in violation of this section.

7. Fees and Payment
- The Solvo Automate plan is $19 AUD per month (inclusive of GST)
- The Solvo Pro plan is $49 AUD per month (inclusive of GST)
- New accounts include a 14-day free trial with full access, no credit card required
- Fees are billed monthly in advance after your trial ends
- We may change our fees with 30 days' written notice
- No refunds are provided for partial months of service
- If payment fails, we may suspend your account until payment is received
8. Intellectual Property
- Solvo and all associated trademarks, logos, and content are owned by us
- You retain ownership of all data you upload to Solvo
- You grant us a limited licence to use your data solely for the purpose of providing the Service
- You grant us permission to display your business name in communications sent on your behalf
9. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. By using Solvo, you acknowledge that:
- We will process personal information (including debtor contact details) on your behalf
- We act as a data processor for debtor information — you remain the data controller
- We will not use debtor data for any purpose other than providing the Service to you
- We do not sell, share, or pool debtor data across accounts
10. Service Availability
- We aim to provide reliable, continuous access to the Service, but do not guarantee 100% uptime
- We may perform maintenance that temporarily affects availability
- We are not liable for any losses arising from service interruptions
11. Limitation of Liability
To the maximum extent permitted by Australian law:
- Solvo is provided "as is" without warranties of any kind
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability to you for any claim arising from your use of the Service is limited to the fees you have paid in the 12 months preceding the claim
- We are not responsible for the actions or responses of your debtors
- We do not guarantee any particular recovery rate or outcome
Nothing in these Terms excludes or limits any consumer guarantees under the Australian Consumer Law that cannot be excluded or limited by law.
12. Termination
- You may cancel your account at any time from your account settings
- Upon cancellation, all active reminder sequences will be stopped immediately
- We will retain your data for 30 days after cancellation, after which it will be permanently deleted
- We may terminate your account immediately if you breach these Terms
13. Changes to These Terms
- We may update these Terms from time to time
- We will notify you of material changes via email or in-app notification at least 14 days before they take effect
- Continued use of the Service after changes take effect constitutes acceptance of the updated Terms
14. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of New South Wales.
